4. Payment Terms
- All fees are as specified in the service agreement or proposal
- Payment is due as per the agreed schedule (typically monthly in advance)
- Ad spend budgets are separate from service fees and are paid directly to advertising platforms
- Late payments may incur interest at the rate of 1.5% per month
- All fees are exclusive of applicable taxes (GST) unless stated otherwise
- We reserve the right to suspend services for overdue payments
5. Intellectual Property
5.1 Our Property
All content on this website, including but not limited to text, graphics, logos, images, software, and the compilation thereof, is the property of PJ Digi India and is protected by copyright, trademark, and other intellectual property laws.
5.2 Client Materials
Clients retain ownership of their brand assets, logos, and content provided to us. By providing such materials, clients grant us a non-exclusive license to use them for the purpose of delivering the agreed services.
5.3 Work Product
Unless otherwise agreed in writing, custom content, ad creatives, and strategies developed by PJ Digi India during the course of service delivery become the client's property upon full payment. Our proprietary tools, methodologies, and processes remain our exclusive property.
6. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of the engagement. This includes but is not limited to business strategies, campaign data, analytics, financial information, and trade secrets.
7. Limitation of Liability
- Our services are provided on an "as is" and "as available" basis
- We do not guarantee specific results from our marketing campaigns, as results depend on various factors including market conditions, competition, and platform algorithms
- Our total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We are not responsible for changes in advertising platform policies, algorithms, or pricing that may affect campaign performance
8. Termination
- Either party may terminate the service agreement with 30 days written notice
- We reserve the right to terminate services immediately if the client violates these Terms or the service agreement
- Upon termination, the client is responsible for all fees incurred up to the termination date
- We will provide reasonable assistance in transitioning advertising accounts back to the client
9. Disclaimers
We make no warranties or representations about:
- The accuracy, reliability, or completeness of the website content
- Specific marketing results or return on investment
- Uninterrupted or error-free website operation
- The absence of viruses or other harmful components
10. Indemnification
You agree to indemnify, defend, and hold harmless PJ Digi India, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of our website or services, your violation of these Terms, or your violation of any third-party rights.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
